Welcome to Zubari, a product and service provided by Redline Blockchain, S.A., a Panamanian corporation registered under Folio No. 155712200 of the Public Registry of Panama ("Zubari," "we," "us," or "our"). These Zubari Terms of Service ("Terms") govern your access to and use of the Zubari website found at https://www.zubari.io, blockchain tools, APIs, and related digital products and services (collectively, the "Services"). This includes subscribing to creators, exploring and purchasing tokenized content, and managing digital assets. By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services. By clicking "Agree" or creating an account, you confirm that you have read, understood, and accepted all Terms and the Privacy Policy available at https://www.zubari.io.

We may change, amend, or revise the Terms at any time at our sole discretion. When we do, we will update the "Last Updated" date above and may post a notice on the site. Continued use of our Services after such changes constitutes your acceptance. If you do not agree to the revised Terms, discontinue using the Services.

NOTICE:

These Terms contain important information, including binding arbitration and a class action waiver. By using the Services or clicking "I ACCEPT," you confirm that you understand and agree to be bound by all terms.

If you accept these Terms on behalf of an entity, you confirm you have the authority to do so, and "you" will refer to that entity. If you lack such authority or disagree with these Terms, do not use the Services.

ZUBARI PLATFORM

Zubari offers two distinct user account types: Creator Accounts and Subscriber Accounts. When creating an account, users must select one of these roles, each with its own capabilities and responsibilities.

Creator Account:

Designed for individuals or entities who wish to upload, monetize, and manage content.

  • Upload and monetize videos, images, PDFs, and NFTs
  • Set subscription tiers
  • Receive crypto payments with 90% revenue share
  • Engage directly with subscribers and manage gated access

Subscriber Account:

Designed for users who wish to discover, subscribe to, and access exclusive content from creators.

  • Browse creator content
  • Subscribe using USDT, USDC, ETH, or other supported cryptocurrencies
  • Instantly unlock exclusive content
  • Join creator communities and follow updates

Account holders may register for both Creator and Subscriber Accounts, provided they use separate login credentials and email addresses for each account type. These accounts operate independently and are subject to the same Terms of Service.

1.1. To use Zubari, you must link a blockchain address and create an account. Users may register using social login or email and will be prompted to link or set up a non-custodial crypto wallet compatible with supported networks. Your blockchain address serves as your identity. Zubari does not have custody or control over your wallet or its contents. You are responsible for safeguarding wallet credentials and seed phrases.

1.2. For account issues or suspected unauthorized access, contact us at info@zubari.io.

1.3. You must be at least 18 years old, have legal capacity to agree, and not be previously suspended.

1.4. Do not create Zubari accounts fraudulently or by automated means.

1.5. Use the Services lawfully. You are responsible for any unlawful activities connected to your account.

1.6. Service may be interrupted due to maintenance. We may reassign or disable inactive usernames or accounts after six months.

1.7. Risks: Digital assets are volatile; regulatory changes may impact Services; blockchain transactions are irreversible; and third-party downtime may impact availability.

CONTENT & TRANSACTIONS

2.1. We do not endorse or guarantee any digital asset listed on Zubari. Users must do their own due diligence. We are not liable for any losses.

2.2. Creators may monetize content via subscriptions. They are responsible for legal compliance. Creators may upload and distribute digital media, including videos, images, PDFs, and NFTs. Subscription tiers and content access rights can be configured at the creator's discretion within platform guidelines.

2.3. Fair Revenue Split:

  • • Zubari applies a transparent revenue model: 90% of all creator earnings go directly to creators, and 10% is retained as a platform fee.
  • • All payments and revenue distributions are executed via automated smart contracts, ensuring transparency and trust.
  • • Multi-Chain Support: Supported cryptocurrencies include USDT, USDC, ETH, and other tokens compatible with Ethereum, Polygon, Base, and Solana. Users may choose their preferred asset and blockchain network when transacting.
  • • Platform fees are non-refundable and cover the costs of infrastructure, security, and support.

2.4. All fees are final.

2.5. NFT ownership does not include underlying IP unless stated.

2.6. Forks and airdrops are not guaranteed.

2.7. We apply reasonable security, but are not liable for unauthorized access unless due to our gross negligence.

2.8. Assets are not insured unless explicitly stated. We may assist with recovery, but we provide no guarantees.

2.9. Payment and Access Mechanics:

Subscriber payments are processed instantly on-chain. Upon successful payment, content is immediately unlocked, and access is granted to gated materials and community features based on the creator's subscription tier settings.

REGULATORY COMPLIANCE

We comply with Panamanian AML, CTF, and consumer laws. Users must comply with the laws of their jurisdiction and provide KYC information. Use is prohibited in sanctioned regions or by sanctioned individuals. We comply with OFAC, Panama FIU, and other restrictions.

INTELLECTUAL PROPERTY

5.1. We retain ownership of all Company IP. Do not use without permission.

5.2. We grant you a limited, revocable, non-exclusive license for personal use. Do not alter, copy, or reverse-engineer our IP.

5.3. Feedback you submit can be used by us without additional compensation.

USER CONDUCT

6.1. Zubari maintains a strict policy prohibiting any form of child exploitation, pornography, sexually explicit content involving minors (real or simulated), or any illicit material. Any violation of this policy will result in immediate account termination and may be reported to relevant legal authorities.

You must not:

  • Violate any laws or these Terms
  • Engage in fraud, money laundering, or market manipulation
  • Use false identities
  • Send spam or malware
  • Violate smart contract terms or conduct unauthorized transactions

6.2. Violations may result in suspension or termination of your account without notice.

THIRD-PARTY SERVICES

7.1. Some Services rely on third parties. You must agree to their terms.

7.2. Third parties have no warranty obligations to you.

7.3. They are responsible for their own services.

TAXES

You are responsible for all applicable taxes, reporting, and compliance in your jurisdiction.

PROMOTIONS & REFERRALS

You may participate in optional promotions. These are governed by separate rules. You agree to follow them if you choose to participate.

REPRESENTATIONS & WARRANTIES

You represent that you have the authority to agree to these Terms and use the Services lawfully.

TERMINATION

You may terminate by discontinuing use. We may terminate at our discretion, especially for violations. Sections 5–17 survive termination.

DISCLAIMERS

12.1. Services are provided "AS IS" and "AS AVAILABLE." No warranties are made.

12.2. You accept the inherent security risks of using the internet.

LIMITATION OF LIABILITY

13.1. We are not liable for indirect or consequential damages.

13.2. We are not liable for events beyond our control (Force Majeure).

13.3. Our liability is limited to the greater of $100 or the fees you paid in the past 12 months.

13.4. These limitations form the basis of our relationship with you.

13.5. Some exclusions may not apply if prohibited by law.

INDEMNIFICATION

You will indemnify us for any losses from your use, breach, or misconduct. We may control the defense at your expense.

GOVERNING LAW

These Terms are governed by Panamanian law. Conflicts with mandatory local law will follow the local law.

DISPUTE RESOLUTION

16.1. All disputes must be resolved via binding arbitration.

16.2. You waive the right to go to court or have a jury trial.

16.3. Arbitration will be in Panama City under the Panama Arbitration Centre. Proceedings are confidential and may be virtual. Each party bears its own costs unless otherwise decided.

16.4. No class actions or joint claims are allowed.

16.5. Awards are final and enforceable under the New York Convention.

16.6. Prevailing parties may recover legal fees.

16.7. If arbitration is unenforceable, disputes will be heard in Panama courts.

EXTERNAL SITES

We are not responsible for third-party websites linked from our Services.

GENERAL PROVISIONS

18.1. These Terms and the Privacy Policy are the entire agreement.

18.2. We may update these Terms at any time. Your continued use = acceptance.

18.3. No waiver is valid unless in writing.

18.4. Certain clauses survive termination.

18.5. You may not transfer your rights; we may.

18.6. We are not liable for force majeure events.

18.7. If any clause is invalid, the rest remain in effect.
